Frequently Asked Questions
Is Pinnicle Capital LLC a buyer or an intermediary?
Pinnicle Capital LLC is a principal buyer, not an intermediary. This means that we buy businesses directly, rather than connecting buyers and sellers. We use debt to finance acquisitions, which allows us to acquire businesses that may not be able to afford to sell outright.
How long does Pinnicle Capital LLC hold its investments?
We are a long-term investor. We typically hold our investments for ever. We do not "flip" investments or seek to generate returns through short-term financial tactics.
How long will it take to sell my company?
In general, we seek to fund and close transactions within 30 to 90 days after we enter a letter of intent. However, the specific timeline will vary depending on the complexity of the transaction.
What changes will Pinnicle Capital LLC make to my company?
We will run the company along with management team in place. We believe that the management team is best positioned to run the day-to-day operations of the business. However, we will partner with the management team to determine any changes required to improve performance.
Does Pinnicle Capital LLC provide any guarantee for seller finance deals?
No, Pinnicle Capital LLC does not provide any guarantee for seller finance deals. This means that if we (the buyer) stops making payments at any time, the seller will have the option to buy back shares immediately.
Is there any collateral?
Yes, there is collateral for all seller finance deals. The collateral is typically the down payment commitment letter from the lender. We maintain a large network of lenders that we partner with to complete acquisitions. Note that commitment letters are only issued if the borrower and company meet underwriting requirements. A commitment letter is a document that lets everyone in the transaction know that the lender is prepared to make a loan to repay the borrower.
What's a business promissory note?
A business promissory note is a legal document that outlines the terms of a loan between a borrower and a lender. In some cases, Pinnicle Capital LLC may sign a promissory note (a promise to repay the loan) as part of a seller finance deal.
